SPECIAL ISSUE OF CORPORATE OWNERSHIP AND CONTROL JOURNAL “CONTINENTAL EUROPE SYSTEM OF CORPORATE GOVERNANCE”
Guest Editor: Prof. Themistokles Lazarides, The problem of corporate governance in Continental Europe countries is the establishment of balance between major and minor shareholders’ goals and interests and not the interception of improper managerial behaviour. The ethical issues are different as well. In agency theory moral hazard, adverse selection and asymmetric information are the key ethical issues, whereas in Continental Europe countries the problem is the abuse of power and control by the controlling shareholders. In Anglo-Saxon countries the agency problem is the main concern of corporate governance. Crisis has raised again the question of corporate governance system. Financial, capital market growth and regulation initiatives in both sides of the Atlantic were the facts on which the basis of convergence was constructed.
